1. Agreement to Terms
By accessing or using Tomson Studios' services, you agree to be bound by these Terms of Service. These terms constitute a legally binding agreement between you ("Client") and Tomson Studios ("Company").
Important: Please read these terms carefully before using our services. If you do not agree to these terms, you must not use our services.
1.1 Eligibility
- You must be at least 18 years old to use our services
- You must have the legal capacity to enter into binding contracts
- You must provide accurate and complete information when using our services
2. Services Description
Tomson Studios provides the following services:
- Game Development
- Web Development
- Software Development
- Digital Marketing
- Video Editing
- Related technical services
2.1 Service Delivery
- Services will be delivered according to agreed specifications
- Delivery timelines will be clearly stated in project agreements
- Any delays will be communicated promptly with revised timelines
- Quality assurance is performed on all deliverables
2.2 Service Modifications
- Changes to service scope require written agreement
- Additional work will be quoted separately
- Modifications may affect delivery timelines
3. Payment Terms
3.1 Pricing and Payment
- All prices are clearly stated in USD
- Payment terms are specified in individual service agreements
- Payment schedules will be agreed upon before project commencement
- All payments are non-refundable except as specified in Section 6
3.2 Payment Methods
- Accepted payment methods will be clearly stated
- Payment processing fees may apply
- Invoices will be provided for all payments
3.3 Late Payments
- Late payments may incur interest at 1.5% per month
- Services may be suspended for payments overdue by 30 days
- Legal action may be taken for payments overdue by 60 days
4. Intellectual Property Rights
4.1 Client Rights
- Clients retain ownership of their original content
- Upon full payment, clients receive rights to deliverables as specified in the agreement
- Usage rights will be clearly defined in project agreements
4.2 Company Rights
- Company retains rights to its pre-existing intellectual property
- Company may use project work in its portfolio with client permission
- Company retains rights to any tools, frameworks, or methodologies used
5. Confidentiality
5.1 Confidential Information
- Both parties agree to maintain confidentiality of sensitive information
- Confidential information includes business plans, technical data, and client information
- Confidentiality obligations survive termination of services
5.2 Data Protection
- Company complies with applicable data protection laws
- Client data is stored securely and used only for agreed purposes
- Data breach notification procedures are in place
6. Warranties and Guarantees
6.1 Service Warranty
- Services are provided "as is" and "as available"
- Company warrants that services will be performed with reasonable care and skill
- 30-day satisfaction guarantee for all services
- Refund policy is clearly stated in service agreements
6.2 Client Warranties
- Client warrants ownership or rights to all provided materials
- Client warrants accuracy of provided information
- Client agrees to comply with all applicable laws
7. Limitation of Liability
7.1 General Limitations
- Company's liability is limited to the amount paid for services
- Company is not liable for indirect or consequential damages
- Company is not liable for third-party actions or services
7.2 Exceptions
- Limitations do not apply to gross negligence or willful misconduct
- Limitations do not apply to death or personal injury
- Limitations do not apply to statutory rights that cannot be excluded
8. Termination
8.1 Termination Rights
- Either party may terminate with 30 days written notice
- Company may terminate immediately for breach of terms
- Client may terminate for material breach by Company
8.2 Post-Termination
- Outstanding payments become due immediately
- Confidentiality obligations survive termination
- Intellectual property rights are as specified in the agreement
9. Dispute Resolution
9.1 Resolution Process
- Disputes will first be addressed through direct negotiation
- If unresolved, parties will attempt mediation
- Arbitration may be used if mediation fails
- Legal action is a last resort
9.2 Governing Law
- Terms are governed by the laws of India
- Jurisdiction is in the courts of India
- International clients may choose alternative dispute resolution
10. Changes to Terms
10.1 Modification Process
- Company may modify terms with 30 days notice
- Changes will be communicated via email and website
- Continued use after changes constitutes acceptance
- Material changes require explicit consent
